Consumerly Terms of Service

These Terms and Conditions (“Terms”) govern your access to and use of the software-as-a-service (“Service”) provided by Consumerly Inc (“Company,” “we,” “our,” or “us”). By using our Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions

“Customer” or “You” means the individual or entity purchasing or using the Service.

“Subscription” means the recurring paid plan (monthly or annual) granting access to our software and related services.

“Platform” refers to our online portal, tools, dashboards, and analytics services.

“Effective Date” means the date you first register for or access the Service.
2. Subscription and Auto-Renewal
2.1 Monthly Subscriptions
All monthly subscriptions automatically renew on the same day of each month unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing cycle, and you will not be charged for the following month.
2.2 Annual Subscriptions
Annual subscriptions renew automatically at the end of each one-year term unless canceled before renewal. Annual subscriptions are prepaid and non-refundable after the renewal date.
2.3 Payment
All fees are due in advance and are non-refundable except where required by law. You authorize us (or our payment processor) to automatically charge your selected payment method on a recurring basis until you cancel.
2.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@consumerly.ai. Cancellation requests must be made prior to renewal to avoid additional charges.
3. Access and Use of the Service
3.1 License
We grant you a limited, non-exclusive, non-transferable right to access and use the Service solely for your internal business purposes.
3.2 Restrictions
You may not:

Copy, modify, or reverse-engineer any part of the Service.

Share login credentials or allow unauthorized access.

Use the Service for illegal, infringing, or harmful purposes.

Resell, sublicense, or distribute the Service to third parties.
4. Confidentiality and Non-Disclosure
4.1 Confidential Information
Each party may have access to the other party’s confidential or proprietary information (“Confidential Information”). This includes customer data, business strategies, software code, trade secrets, and pricing information.
4.2 Non-Disclosure
Both parties agree to:

Keep all Confidential Information strictly confidential.

Not disclose, use, or reproduce any Confidential Information except as required to fulfill obligations under these Terms.

Protect the other party’s Confidential Information with the same degree of care used to protect their own.
4.3 Exceptions
Confidential Information does not include information that:

Is publicly available through no fault of the receiving party;

Was lawfully received from a third party without restriction; or

Is independently developed without use of Confidential Information.
5. Data Privacy
We value your privacy.

Customer data is used solely for providing and improving the Service.

6. Intellectual Property

7. Service Availability and Support
We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation.
We may occasionally perform maintenance or updates, during which temporary downtime may occur.

8. Disclaimers and Limitation of Liability

The Service is provided “as is” without warranties of any kind, express or implied.

We are not liable for any indirect, consequential, or incidental damages (including lost profits or data).

Our total liability for any claim arising under these Terms shall not exceed the fees paid by you to us during the three (3) months preceding the event giving rise to the claim.
9. Termination
We may suspend or terminate your access if you violate these Terms or engage in unauthorized or unlawful use.
Upon termination, your access to the Service and associated data may be disabled. Sections on Confidentiality, Data Privacy, and Limitation of Liability survive termination.
10. Governing Law and Dispute Resolution
