Consumerly Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the software-as-a-service platform and related intelligence services (the “Service”) provided by Consumerly Inc (“Company,” “we,” “our,” or “us”). By registering for an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Definitions

“Customer” or “You” means the individual or legal entity purchasing or using the Service.

“AI Managers” refers to the specialized generative artificial intelligence personas (including but not limited to “Cameron” and “Cleo”) developed by the Company to analyze data.

“Customer Data” means all data, text, or information provided by the Customer or retrieved via Customer-authorized third-party APIs (including Amazon Seller Central and Advertising APIs).

“Intelligence Reports” refers to the AI-generated summaries, emails, and dashboards provided to the Customer.
2. Subscription and Billing
2.1 Subscription Models The Service is billed on a recurring basis. Monthly subscriptions automatically renew on the same day each month. Annual subscriptions are prepaid for a twelve-month term and renew automatically on the anniversary date.
2.2 Payment and Authorization All fees are due in advance and are non-refundable except where required by law. You authorize us (or our third-party payment processor) to charge your selected payment method for all applicable fees until your subscription is canceled.
2.3 Cancellation You may cancel your subscription at any time through your account dashboard or by emailing support@consumerly.ai. To avoid charges for a subsequent term, cancellation must be processed prior to your next renewal date.
3. Usage and Restrictions
3.1 Limited License We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for your internal business purposes.
3.2 Prohibited Conduct You agree not to:

Reverse-engineer, decompile, or attempt to extract the source code or underlying AI logic of the Service.

Use the Service to build a competing product or service.

Share account credentials or provide access to unauthorized third parties.

Use the Service in any manner that violates Amazon’s Terms of Service or applicable law.
4. Confidentiality and Non-Disclosure
4.1 Mutual Confidentiality Each party may gain access to the other’s “Confidential Information.” For the Customer, this includes Amazon account metrics, SKU-level data, and business strategies. For the Company, this includes AI logic, prompt engineering, and proprietary reporting structures.
4.2 Protection of Data Both parties agree to exercise a reasonable degree of care to protect Confidential Information. Neither party will disclose the other’s Confidential Information to third parties except as necessary to provide the Service or as required by law.
5. AI Processing and Data Privacy
5.1 Third-Party AI Subprocessors To provide specialized insights, Consumerly utilizes third-party generative artificial intelligence (“AI”) platforms (such as OpenAI, Google, and Anthropic). By using the Service, you grant us permission to transmit Customer Data to these subprocessors for real-time analysis.
5.2 Data Integrity and Training Protections We utilize enterprise-grade API connections and strict “Opt-Out” configurations with our AI subprocessors. Your Customer Data is never used to train the global foundational models of these third-party AI providers. Your data remains your exclusive property and is processed only for the generation of your specific Intelligence Reports.
5.3 Privacy Compliance Consumerly does not sell Customer Data to third parties for marketing purposes. Our processing of your data is governed by our [Privacy Policy], which complies with current data protection regulations.
6. Intellectual Property
6.1 Company Ownership The Company retains all rights, titles, and interests in the Service, including the AI Manager personas, software, branding, and proprietary algorithms.
6.2 Customer Ownership The Customer retains all rights and ownership to the original Customer Data. You grant the Company a limited license to host, process, and analyze your data solely for the purpose of providing the Service.
7. Disclaimers and Operational Risks
7.1 AI Accuracy Disclaimer The Service provides intelligence based on AI analysis of historical and real-time data. While Consumerly strives for high precision, AI-generated insights are not a guarantee of future performance. Intelligence Reports may occasionally contain inaccuracies or “hallucinations” inherent to generative AI technology.
7.2 Verification and Implementation Consumerly provides the intelligence; the Customer provides the execution. You are solely responsible for verifying all data and AI-driven recommendations before implementing changes to your Amazon account (including bid adjustments, pricing changes, or inventory orders).
8. Limitation of Liability
To the maximum extent permitted by law, Consumerly Inc shall not be liable for any indirect, incidental, or consequential damages, including lost profits or loss of data, arising from your use of the Service. Our total cumulative liability for any claim shall not exceed the fees paid by you to the Company during the three (3) months preceding the event giving rise to the claim.
9. Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Utah County, Utah.

This is our “Zero-Training” guarantee. To provide high-level intelligence, we process your data through enterprise-tier Generative AI subprocessors (e.g., OpenAI, Google).

No Model Training: We utilize enterprise-grade API endpoints that explicitly exclude your data from being used to train, retrain, or improve foundational AI models.

Data Transient Status: Your data is sent to AI subprocessors only for real-time analysis and is not stored or indexed by those third parties for their own purposes.

Encryption: All data in transit between Consumerly and our AI subprocessors is protected by 256-bit SSL encryption.
4. Data Sharing & Disclosure

No Sale of Data: We never sell your personal or business data to third-party advertisers or data brokers.

Service Providers: We share data only with essential service providers (e.g., payment processors, AI subprocessors) required to fulfill our Service.

5. Your Data Rights
You maintain full control over your brand’s data:

Access & Deletion: You may request a copy of your stored data or request the permanent deletion of your account and associated data at any time.

Revocation of Access: You can disconnect your Amazon API permissions at any time via your Seller Central account, which immediately halts our ability to retrieve new data.
